Loxley Web Studio Ltd Terms & Conditions

These Terms & Conditions outline the agreement between Loxley Web Studio Ltd and 'the Client.' Any purchase or use of our services implies that 'the Client' has read, understood, and accepted these terms and conditions.

Before any work commences, and for the avoidance of doubt, Loxley Web Studio Ltd will request acceptance of these terms via the electronic form on your proposal page.

1. Pricing

Estimates are valid for two months from the date of issue. These consist of an estimated number of work hours multiplied by an hourly rate. This rate may vary depending on the task's complexity and will be indicated in the estimate for the Client's approval.

While Loxley Web Studio Ltd strives to invoice according to the initial estimate, the final invoice may change if the scope of work evolves during the build process, whether due to Client requests or other factors.

For a fixed quote, the Client must provide comprehensive project specifications, including all content, design, and functionality details.

2. Payment Schedule

An initial deposit is required before the commencement of any work.

For larger projects, the work will be divided into milestones, with each milestone requiring payment before work on the next phase can begin.

Should a project not progress in a timely manner due to delays from the Client, Loxley Web Studio Ltd reserves the right to issue interim invoices for any completed hours.

The final balance must be paid before the website is published on the domain or before a website project is transferred to the Client's control.

3. Payments

Invoices will be sent via email and will include electronic fund transfer details. Loxley Web Studio Ltd does not accept cash or cheques.

All invoices should be settled within seven days of the invoice issue date. Persistent non-payment could result in the suspension of service. This could mean that the website and any linked email service stops working.

Non-payment of invoices will be pursued. Interest may be added, and any legal fees or costs will become payable.

4. Web Hosting Payments

Website hosting is payable yearly in advance. Refunds cannot be made if a hosting plan is cancelled mid-term.

Loxley Web Studio Ltd will only renew website hosting if payment has been received prior to the renewal date.

Website hosting renewals will be invoiced four weeks in advance. If an invoice is not paid by the renewal date the website hosting will not be renewed, and the website will go offline.

Purchase of a new hosting plan, rather than a continuation, may result in a higher price being charged.

5. Intellectual Property Rights

Upon full payment, the Client will own the rights to the website design and content created by Loxley Web Studio Ltd.

However, Loxley Web Studio Ltd retains the right to showcase the work as part of its portfolio and for promotional purposes unless the client requests otherwise in writing.

6. Link in Website Footer

All websites created and/or maintained by Loxley Web Studio Ltd will include a link in the footer pointing to our domain (e.g., "Website by Loxley Web Studio"). This link helps us showcase our work and maintain our brand visibility.

7. Indemnity

The Client agrees to indemnify and hold Loxley Web Studio Ltd harmless from any claims resulting from the use of our service that damages the Client or a third party.

8. Liability

Loxley Web Studio Ltd excludes itself from all and any liability to the fullest extent permitted by law from:

  • Loss or damage caused by any inaccuracy
  • Loss or damage caused by omission
  • Loss or damage caused by delay or error

9. Website Browsers

Loxley Web Studio Ltd designs and tests websites to work on modern browsers as per our Cross Browser Testing Policy. We cannot guarantee functionality on outdated devices or browsers (e.g. Internet Explorer, iPhone 5).

10. Cookie Compliance

Loxley Web Studio Ltd will take reasonable steps to ensure your website is cookie compliant with EU regulations at launch. However, since laws and third-party service behaviours can change, we cannot guarantee ongoing compliance. For specific legal advice, we recommend consulting a specialist.

11. Legal Documents

It is the Client's responsibility to provide all necessary legal documents required for the website, such as privacy policies, terms and conditions, and any other legal disclosures. Loxley Web Studio Ltd does not provide legal advice or draft legal documents.

12. General

These Terms & Conditions replace any previous agreements. By using our services or indicating acceptance in the form on your proposal page, you confirm that you have read and accepted these terms.
